Client Intellectual Property

You retain all rights to your pre-existing intellectual property. Any intellectual property rights in deliverables created specifically for you will be addressed in the applicable service agreement.

License Grant

Subject to your compliance with these terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to use our services and deliverables as specified in your service agreement.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation includes:

• Not disclosing confidential information to third parties without prior written consent
• Using confidential information only for the purposes of the service engagement
• Taking reasonable measures to protect confidential information
• Returning or destroying confidential information upon request or termination of services

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Warranties and Disclaimers

Our Warranties

Disclaimer

We do not warrant that our services will be uninterrupted, error-free, or completely secure. We are not responsible for delays or failures due to circumstances beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims arising from or related to our services shall not exceed the fees paid by you for the specific services giving rise to the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We shall not be liable for any loss of profits, revenue, data, or business opportunities
• These limitations apply regardless of the legal theory of liability

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless TAXBOT TECHNOLOGY LIMITED, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to:

11. Term and Termination

These Terms of Service remain in effect while you use our services. Either party may terminate a service engagement as specified in the applicable service agreement.

Upon termination:

• You must pay all outstanding fees for services rendered
• We will return or destroy your confidential information as requested
• Provisions that by their nature should survive termination will continue to apply

These Terms of Service shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of law provisions.

Dispute Resolution Process

In the event of any dispute arising from these terms or our services:

• The parties will first attempt to resolve the dispute through good faith negotiations
• If negotiations fail, the parties may agree to mediation
• Any unresolved disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong

13. Force Majeure

Entire Agreement

These Terms of Service, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and TAXBOT TECHNOLOGY LIMITED regarding our services.

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver

No waiver of any term of these Terms of Service shall be deemed a further or continuing waiver of such term or any other term.

Assignment
